Terms of Service
1. Provider & Services
e-Bharat Solutions is a software consultancy based in Nagpur, Maharashtra, India, reachable at ebharatsolutions.in@gmail.com. We provide the following services (each, a "Service"):
- WA Messenger — a multi-tenant dashboard through which businesses connect their own WhatsApp Business Account (via Meta's WhatsApp Cloud API) to send template messages, run campaigns, manage contact lists, and reply to customer conversations.
- Business Card Digitisation — a WhatsApp-based service that converts photographed business cards into structured, saved contact records.
2. Acceptable Use
When using WA Messenger to message contacts on WhatsApp, the customer agrees that:
- The customer holds prior opt-in or consent from every contact before sending them a message, and can produce evidence of that consent if requested.
- The Service will not be used to send spam or bulk unsolicited messages.
- All messaging complies with the WhatsApp Business Messaging Policy and Meta's applicable business and commerce policies.
- The Service will not be used to send illegal content, or content in a category prohibited by Meta's platform policies (including but not limited to adult content, weapons, illegal substances, or deceptive/fraudulent claims).
3. Customer Responsibilities
The customer is responsible for:
- The accuracy and legality of any contact data uploaded to the Service, including phone numbers, names, and tags.
- Obtaining and maintaining valid consent from each contact prior to messaging them.
- Keeping their own Meta Business Manager and WhatsApp Business Account compliant with Meta's policies, verification requirements, and terms.
- Any charges levied by Meta on the customer's own WhatsApp Business Account. WhatsApp conversation-based charges are billed directly by Meta to the customer's connected account — e-Bharat Solutions does not invoice, mark up, or collect these charges.
4. Fees
Fees for our Services are as agreed directly with the customer at the time of engagement. WhatsApp usage — template message sends, conversation charges, and any other Meta-billed usage — is billed separately by Meta to the customer's own WhatsApp Business Account and is not included in our fees.
5. Suspension & Termination
We may suspend or terminate access to a Service, in whole or in part, where a customer violates these Terms, the WhatsApp Business Messaging Policy, or any applicable Meta platform policy — or where Meta itself takes enforcement action (including but not limited to a quality rating downgrade, template rejection, or account restriction) against a connected WhatsApp Business Account. Where reasonably possible, we will notify the customer of the reason for suspension.
6. Disclaimers & Limitation of Liability
Our Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law:
- We do not warrant uninterrupted or error-free operation of the Service, and are not liable for outages, downtime, or degraded performance caused by Meta's WhatsApp Cloud API, WhatsApp infrastructure, or any other third-party platform we depend on.
- We are not liable for message delivery failures, delays, or non-delivery, as message delivery is controlled by Meta and WhatsApp, not by us.
- We are not liable for actions taken by Meta against a customer's WhatsApp Business Account, including template rejections, quality-rating changes, messaging limit reductions, or account suspension — these are determined and enforced solely by Meta.
- We make no warranty regarding message deliverability, open rates, or response rates, as these outcomes are controlled by Meta's platform, not by e-Bharat Solutions.
7. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or Meta's platform policies. Where changes are material, we will endeavour to notify active customers in advance of the changes taking effect. The effective date at the top of this document reflects the date of the most recent revision.
8. Governing Law
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nagpur, Maharashtra, India.
